Puritan Financial Group, Inc. Signs Binding Letter of Intent To Acquire TRAC Indemnity Insurance Company

Puritan Financial Group, Inc. (Pink Sheets:PTNG) announced today it has signed a Binding Letter of Intent (LOI) to acquire TRAC Indemnity Insurance Company, a Cayman Island corporation. Upon closing, TRAC will be renamed Concordis Risk Advisors.

Concordis Risk Advisors will offer insurance coverage in such areas as workman’s compensation, general liability, employee benefits, auto and property coverage.

Trent Sommerville, Chairman and CEO of Puritan Financial Group, stated, “The acquisition of TRAC will provide our clients with the benefits of owning a captive insurance company without the cost, infrastructure requirements or the need for administration. These benefits can save our clients tens of thousands of dollars per year, plus the long-term tax benefits can be substantial.”

Mr. Sommerville also stated, “This acquisition continues our growth strategy and creates synergy with our planned acquisition of Union Financial.”

Concordis Risk Advisors will operate as a wholly owned subsidiary. Closing on this acquisition is to occur on or before March 6th, 2009.

Puritan Financial Group, Inc. (Pink Sheets:PTNG) announced today it has signed a Binding Letter of Intent (LOI) to acquire Union Financial Corp., a small boutique brokerage firm based in Fort Lauderdale, Florida. Union Financial currently has over $14 million in assets under management which includes stocks, bonds and cash. Their clients include over 200 retail and institutional customers.

Union Financial Corp. will operate as a wholly owned subsidiary. Closing on this acquisition is to occur on or before February 20th, 2009.

Trent Sommerville, Chairman and CEO of Puritan Financial Group, stated, “The acquisition of Union Financial strengthens our position in the brokerage sector as we move forward with our corporate strategy. It will also open new opportunities on the retail side and help increase our customer base.”

Mr. Sommerville also stated, “We will continue to seek out other Broker/Dealer opportunities that are a strategic fit for our company.”

Thomas R. Noonan, President of Union Financial Corp., will remain as a consultant to the company and assist in the transition to new management.

Stocks Move Lower on Weak Consumer Spending Data

Wall Street’s worries about weak consumer spending revived Thursday, sending stocks lower as bad news from Wal-Mart Stores Inc. signaled that even the stronger U.S. retailers struggled during the holiday shopping season.

In midmorning trading, the Dow fell 99.16, or 1.13 percent, to 8,670.54.

Broader stock indicators also declined. The Standard & Poor’s 500 index fell 8.11, or 0.89 percent, to 898.54, and the Nasdaq composite index fell 12.87, or 0.80 percent, to 1,586.19.

The Russell 2000 index of smaller companies 3.62, or 0.73 percent, to 493.48.

Declining issues outnumbered advancers by about 2 to 1 on the New York Stock Exchange, where volume came to 117.8 million shares.

Government bond prices rose modestly. The yield on the benchmark 10-year Treasury note, which moves opposite its price, fell to 2.46 percent from 2.50 percent late Wednesday.

The dollar fell against other major currencies, and gold prices rose.

Light, sweet crude fell 41 cents to $42.22 a barrel on the New York Mercantile Exchange.

Stocks Move Lower on Weak Employment Data and Earnings Woes

Stocks fell sharply Wednesday, as a handful of bleak profit outlooks and more evidence of escalating unemployment served as stark reminders that the economy remains in rough shape.

Underscoring investors’ growing fears that 2009 is shaping up to be a difficult year for many sectors, Time Warner and Intel on Wednesday issued disappointing guidance.

Time Warner Inc. said it expects to record a fourth-quarter $25 billion impairment charge for its cable, publishing and AOL units that will lead to an operating loss for the period and a loss for the full year. It had expected a profit between $1.04 and $1.07 per share for the year.

Meanwhile, computer chip maker Intel Corp. said it expects fourth-quarter revenue to drop 23 percent, below prior estimates, due to weak demand and inventory reductions by its computer maker customers.

In late morning trading, the Dow dropped 186.46, or 2.07 percent, to 8,828.64. The Standard & Poor’s 500 index fell 21.57, or 2.31 percent, to 913.13, while the Nasdaq composite index fell 41.70, or 2.52 percent, to 1,610.68.

The Russell 2000 index of smaller companies was down 14.98, or 2.91 percent, to 499.73.

Bond prices rose on Wednesday. The yield on the benchmark 10-year Treasury note, which moves opposite its price, fell to 2.46 percent from 2.47 percent late Tuesday. The yield on the three-month T-bill, considered one of the safest investments, edged lower to 0.11 percent from 0.14 percent.

The dollar fell against other major currencies. Gold prices also fell.

Crude oil prices slipped $2.46 to $46.12 a barrel on the New York Mercantile Exchange.

Stocks pare gains following mixed readings on factory orders, housing, and service sector

Stocks pared some of their earlier gains Tuesday following disappointing readings on pending home sales and factory orders.

While investors expected the data to show further deterioration, they were hoping the pace of the declines would slow. The market is eager for signs that the U.S. recession will end this year.

The National Association of Realtors said Tuesday that pending home sales fell to the lowest level on record in November. The trade group said its seasonally adjusted index of pending sales for existing homes fell 4 percent to 82.3 from a downwardly revised October reading of 85.7 in October. That’s worse than the reading of 88 that economists expected, according to Thomson Reuters.

Meanwhile, the Commerce Department said factory orders declined for a record fourth straight month in November.

One bright spot among the day’s reports: the Institute for Supply Management said the U.S. services sector contracted at a slower pace last month. The trade group of purchasing executives said its services sector index rose to 40.6 in December from 37.3 in November. Wall Street economists had expected the index to slip slightly to 37.

The index continues to signal the sector is contracting, however. A reading below 50 signals contraction, while a reading above 50 indicates growth.

In midmorning trading, the Dow Jones industrial average rose 44.29, or 0.49 percent, to 8,997.18, after rising as much as 122 points prior to the readings. The Standard & Poor’s 500 index rose 4.89, or 0.53 percent, to 932.34, while the Nasdaq composite index advanced 12.40, or 0.76 percent, to 1,640.43.
